K2 Korea Group is expanding its outdoor business through the acquisition of the outdoor brand Nepa. The company plans to leverage Nepa's established customer base and sales network while enhancing product competitiveness through its production, sourcing, and supply chain management capabilities. The strategy involves increasing investment in product development and distribution channels while maintaining the unique characteristics of each brand.

According to industry sources on October 14, K2 Korea Group signed the acquisition contract for Nepa on September 22. By participating in Nepa's shareholder allocation capital increase and acquiring new shares, K2 will become the largest shareholder and participate in management once the process is completed. Combining K2's six corporate revenues of approximately 974.5 billion won with Nepa's revenue of 288.8 billion won will result in total revenue of 1.2633 trillion won, comparable to that of Youngone Outdoor, which operates The North Face. The domestic outdoor market is led by The North Face, which has annual sales of around 1 trillion won, followed by K2 and Kolon Sport.

K2 Korea Group plans to broaden its customer base and product offerings with the integration of Nepa. The company aims to attract Nepa's younger demographic, aged 20 to 30, while complementing its existing customer base of those in their 40s and 50s. The goal is to create a synergistic effect by leveraging the strengths of each brand in terms of lifestyle and functionality.

The group currently operates K2, Eider, and sports brand Dynafit, as well as golf brand Wide Angle. The company noted that concerns about brand overlap arose during the acquisition of Eider, but it successfully maintained each brand's identity and fostered independent growth. K2 plans to preserve Eider's outdoor sensibility while incorporating Nepa's urban and outdoor lifestyle.

However, Nepa faces challenges in recovering its performance and securing investment capacity. The company's operating profit is projected to turn negative with a loss of approximately 700 million won in 2024, following a loss of 2.1 billion won last year. Nepa's current corporate value is estimated to be around 200 billion won.

The financial burden on Nepa stems from the acquisition financing structure by private equity firm MBK Partners. In 2013, MBK acquired 94.2% of Nepa's shares for about 997 billion won through a special purpose company, TV Holdings, while borrowing approximately 480 billion won. This debt was transferred to Nepa following the merger of the two companies.

Nepa plans to use the funds from this capital increase to reduce borrowing costs and secure investment capacity for product development and marketing. The strategy aims to alleviate the financial burden incurred during the acquisition and strengthen the business by utilizing the group's development and production capabilities.

There are also possibilities for collaboration in footwear products. Recently, Nepa has expanded its offerings to include walking and trekking shoes in addition to hiking boots. K2 Korea Group established a footwear research institute, K2 Korea Research Institute, in 2016 to develop new products and conduct research and development (R&D) for its brands. A company representative stated, "The specific direction regarding the utilization of the footwear research institute and changes in key products will be finalized after assessing the business status post-acquisition."

K2 Korea Group plans to enhance Nepa's product and marketing competitiveness while increasing investment in its distribution network, which includes approximately 340 offline stores nationwide for both adult and children's lines. In the medium to long term, the company is also considering expansion into overseas markets.
